Welcome to Ugly House Finder (UHF), a dba of Distillery University ("UHF," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile application, and any related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be legally bound by these Terms and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Changes to Terms

We reserve the right to modify, update, or replace these Terms at any time. Any changes will become effective immediately upon posting the revised Terms on our website and/or app. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Use of the Service

UHF provides users with tools and information to assist in finding properties. The content and information provided through our Service are for general informational and entertainment purposes only and do not constitute professional advice of any kind, including but not limited to financial, investment, legal, or real estate advice. While we strive to ensure that the information is accurate and current, we make no guarantees regarding its completeness, accuracy, or reliability. Your use of the Service is at your own risk.

4.1 Information Sources and Limitations

The Service utilizes various third-party data sources, including but not limited to Google Street View images, public records, and other publicly available information. You acknowledge and agree to the following:

a) Third-Party Data: Images, property information, and other data provided through the Service may be supplied by third parties over which UHF has no control.

b) Data Currency: Google Street View images and other data sources may be several years out of date. While UHF makes reasonable efforts to provide the most current information available, we cannot guarantee that all information reflects the current state of any property.

c) No Verification Obligation: UHF has no obligation to verify the accuracy, currency, or completeness of any information provided through the Service.

d) Independent Verification: You are solely responsible for independently verifying all information obtained through the Service before making any decisions or taking any actions based on such information.

4.2 Distress Score and Property Analysis

The "Distress Score" and any property analysis provided through the Service are generated based on algorithmic evaluation of available data and are provided for informational and entertainment purposes only. You acknowledge and agree that:

a) Distress Scores and property analyses are estimates only and may not reflect the actual condition, value, or investment potential of any property.

b) UHF makes no representations or warranties regarding the accuracy or reliability of Distress Scores or property analyses.

c) You should not rely solely on Distress Scores or property analyses when making investment, purchase, or other property-related decisions.

4.3 Not Financial or Investment Advice

NOTHING AVAILABLE THROUGH THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, TAX, OR REAL ESTATE ADVICE. UHF IS NOT A FINANCIAL ADVISOR, INVESTMENT ADVISOR, ATTORNEY, TAX ADVISOR, REAL ESTATE BROKER, OR REAL ESTATE AGENT. The Service is not intended to be a substitute for professional advice. You should consult with qualified professionals before making any financial, investment, legal, tax, or real estate decisions.

5. User Accounts

Some features of the Service require you to register for an account. If you choose to create an account, you agree to:

Provide accurate, current, and complete information during registration.

Maintain and promptly update your information to keep it accurate.

Maintain the confidentiality of your login credentials.

Accept responsibility for all activities that occur under your account.

You must notify us immediately if you suspect any unauthorized use of your account.

6. Payment and Billing Terms

UHF offers access to the Service on a subscription basis. A free trial may be offered at our discretion (see Section 7 below). The following payment terms apply:

Membership Tiers and Points System: Access to the platform is exclusively through subscriptions. Users may select the membership tier that best suits their needs. Each tier provides a specific allocation of "Points" which can be redeemed for searches and Skip Traces.

Search and Analysis Mechanism: The Service allows users to draw shapes on a map to define search areas. Our system will attempt to pull all Google Street View images for each property inside the defined shape. The geographic size of the shape determines the number of Points required to run the search and analysis.

Additional Points: If your Point allocation runs low, you have the option to purchase additional Points at the then-current rate. Points do not roll over from month to month and must be used within the billing cycle in which they were allocated or purchased; they are "use it or lose it." Points are non-refundable under any circumstances.

Subscription Renewal and Cancellation: Monthly subscriptions automatically renew every 30 days. You may cancel your subscription at any time by logging into your account through our website. (Please note that sending messages to UHF indicating your desire to cancel is not sufficient notice.) Cancellation requests must be initiated at least 3 days before the renewal date to allow our payment processor to process the cancellation. If a cancellation request is not received by the required deadline, your subscription will renew for an additional 30-day period, and the monthly fee will be charged accordingly.

Non-Refundable Fees: Monthly subscription fees and any fees for additional search results are non-refundable for any reason.

Pricing Changes: UHF reserves the right to change pricing, membership tiers, and per-search-result rates at any time. We will post any changes on our website, and your continued use of the Service after such changes constitutes your acceptance of the revised payment terms.

7. Free Trial

UHF may, at its sole discretion, offer free trials to users. Free trial programs may take various forms, and UHF is not bound to provide free trials to any user. A common free trial format includes a 7-day access period upon account creation, during which users are entitled to an advertised number of search results featuring properties with a Distress Score of 3.5 or higher.

Each search performed during such a trial—where the app analyzes one designated area on the map—may generate one or more search results. Once the total number of search results generated during the free trial reaches the advertised limit, you will be prompted to upgrade to a paid account. Free trials are offered solely for evaluation purposes, and any unused trial allocations will not be carried over or refunded if you do not upgrade. UHF reserves the right to modify, limit, or discontinue any free trial program at any time without notice.

8. User-Generated Content

The Service may allow you and other users to submit, post, or display content—including reviews, comments, or other information ("User Content"). You retain any intellectual property rights in your User Content, subject to the rights you grant to UHF by submitting such content. By submitting User Content, you grant UHF a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, modify, distribute, display, and otherwise exploit such content in connection with the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. UHF does not endorse any User Content and is not responsible for its accuracy or reliability.

9. Intellectual Property Rights

All content, trademarks, service marks, logos, and other intellectual property displayed or provided on the Service are the property of UHF or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works of any materials obtained from the Service without our prior written consent.

10. Prohibited Conduct

When using the Service, you agree not to:

Violate any applicable local, state, national, or international law or regulation, including but not limited to privacy laws in any jurisdiction.

Use the Service in any manner that violates the privacy rights of individuals or entities. UHF expressly prohibits the use of our Service to violate privacy laws anywhere around the globe, and we take such matters very seriously.

Engage in any activity that interferes with or disrupts the Service or its associated servers or networks.

Post, transmit, or otherwise distribute any content that is defamatory, offensive, obscene, or otherwise objectionable.

Attempt to gain unauthorized access to any portion of the Service, user accounts, or computer systems or networks connected to the Service.

Use the Service to transmit any viruses, malware, or other harmful computer code.

Use the Service in any way that does not align with the highest standards of ethics and morality.

UHF reserves the right to suspend or terminate your access to the Service if you violate these provisions. We may also report violations of privacy laws to appropriate authorities.

11. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by UHF. We do not endorse, guarantee, or assume responsibility for any third-party websites or services. Your interactions with third parties are solely between you and the third party, and you agree that UHF is not responsible or liable for any damages or losses arising from your use of such third-party websites or services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. UHF DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be error-free, uninterrupted, secure, or free of viruses or other harmful components.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UHF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED DIRECTLY OR INDIRECTLY, OR ANY OTHER DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICE.

UHF SHALL NOT BE LIABLE FOR ANY DECISIONS MADE, ACTIONS TAKEN, OR INVESTMENTS ENTERED INTO BY YOU BASED ON INFORMATION, CONTENT, OR MATERIALS PROVIDED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO DISTRESS SCORES, PROPERTY ANALYSES, GOOGLE STREET VIEW IMAGES, OR ANY OTHER DATA OR INFORMATION. YOU ACKNOWLEDGE AND AGREE THAT YOU BEAR SOLE RESPONSIBILITY FOR ANY INVESTMENT, FINANCIAL, OR PROPERTY-RELATED DECISIONS YOU MAKE.

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you (if any) for accessing the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ugly House Finder, a dba of Distillery University, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any rights of another.

15. Termination

We reserve the right to suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, without prior notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation, the provisions regarding intellectual property, disclaimers, indemnification, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the appropriate state or federal courts located in Washington, and you consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and UHF regarding your use of the Service and supersede any prior agreements, communications, or understandings, whether written or oral.

19. Account Upgrades or Downgrades

If you decide to change your membership tier, UHF may adjust your remaining monthly search results allowance and any accumulated credits on a prorated basis. It is your responsibility to review any changes to your account details following an upgrade or downgrade. All adjustments will be subject to our prevailing policies and may affect the renewal and billing of your subscription.

20. Usage Limits and Fair Use

In addition to the search results limits associated with your membership tier, UHF reserves the right to impose additional usage limits to ensure that the Service remains available, secure, and efficient for all users. Although you may perform an unlimited number of searches (each analyzing one designated area on the map), if your usage of search results (i.e., the individual property analyses returned) is deemed excessive or abusive beyond what is reasonably necessary for your intended use, UHF may, at its sole discretion, take appropriate actions. Such actions may include, but are not limited to, temporarily suspending your access, reducing your service access, or terminating your account. We encourage all users to adhere to fair use guidelines.

21. Additional Provisions for SaaS Services

Service Modifications: UHF reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We will make reasonable efforts to notify users of significant changes that may affect your use of the Service.

Data Security and Backup: While we take reasonable measures to protect your data, UHF does not guarantee uninterrupted or error-free access to the Service, nor does it guarantee that any data will be securely maintained or backed up.

Force Majeure: UHF shall not be liable for any failure to perform its obligations under these Terms if such failure is due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or the failure of third-party services.

Payment Disputes: If you have any concerns or disputes regarding billing or payment, please contact our customer support immediately. UHF reserves the right to adjust any billing errors at its discretion.

22. Informational and Entertainment Purposes Only

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. You acknowledge and agree that:

a) Any information, content, materials, or features provided through the Service are for general informational and entertainment purposes only.

b) The Service is not intended to provide, and should not be relied upon for, financial, investment, legal, tax, or real estate advice.

c) Any actions you take based on the information provided through the Service are at your own risk and discretion.

d) UHF shall not be liable for any decisions made or actions taken by you based on the information provided through the Service.

23. Acknowledgment of Third-Party Resources

You acknowledge that the Service incorporates third-party resources, including but not limited to Google Street View images, public records, and other data sources. UHF does not own or control these resources and makes no representations or warranties regarding their accuracy, currency, or reliability. The use of such resources is subject to the terms and conditions of the respective third-party providers.

24. Skip Tracing Services

UHF may offer "Skip Tracing" services, which allow users to obtain contact information and other details about property owners. These services are provided through third-party data providers over which UHF has no control. You acknowledge and agree to the following:

a) UHF utilizes third-party service providers to obtain Skip Tracing data and has no independent means to verify the accuracy, completeness, or currency of this information.

b) UHF MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENCY OF ANY SKIP TRACING DATA PROVIDED THROUGH THE SERVICE.

c) If Skip Tracing data obtained through the Service proves to be inaccurate, incomplete, or otherwise unsatisfactory, NO REFUNDS will be provided for any reason.

d) Points redeemed for Skip Tracing services are considered fully used upon delivery of the data, regardless of the accuracy or usefulness of the information provided.

e) You are solely responsible for ensuring that your use of Skip Tracing data complies with all applicable laws, including but not limited to privacy laws, consumer protection laws, and anti-harassment statutes.
